Distinguish products from development work
A software notice may seek an existing licensed product, a hosted service, implementation support or a bespoke build. Start with software, then try a separate search for your specialism. Check whether the buyer expects a complete replacement, integration with existing systems or a smaller piece of development.
Estimate the work around the software
Data migration, training, accessibility, security assurance, hosting and support can outweigh the initial build. Check user numbers, integrations, service levels and who owns each dependency. An attractive annual licence value may include significant implementation work.
Review the exit requirements
Read the requirements for data export, intellectual property, documentation and transition support. Understand how acceptance is measured, when invoices can be raised and what happens if a dependency is delayed. Only promise certifications or support hours you can actually provide.
Your quick checklist
- Existing product, configuration or bespoke development?
- Which integrations and data migrations are included?
- What security, accessibility and support evidence is required?
- Who owns the deliverables and how can the buyer leave?
